End User License Agreement

THIS END USER LICENSE AGREEMENT ("EULA" or "Agreement") is a legally binding agreement between you ("Licensee," "CEO," or "you") and Studio9 LLC, a New Mexico limited liability company doing business as GetStaff AI ("Licensor," "GetStaff AI," "we," or "us"), governing your installation, access, and use of the GetStaff AI software platform, applications, AI systems, and all related components (collectively, the "Software").

BY COMPLETING THE INCORPORATION PROCESS, CLICKING "I AGREE," ACCESSING THE EXECUTIVE SUITE, OR OTHERWISE USING ANY PORTION OF THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SOFTWARE.

This EULA should be read in conjunction with GetStaff AI's Terms of Service and Privacy Policy, which are incorporated herein by reference.

1. GRANT OF LICENSE

1.1 Limited License

Subject to your compliance with this EULA and payment of all applicable subscription fees, GetStaff AI grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business operations during the term of your active subscription or Provisional Status.

1.2 Scope of License

This license authorizes you to:

Access the Executive Suite and all features corresponding to your active Intelligence Level or Provisional Status
Direct and interact with AI Employees within your Organisation
Receive, use, and own Outputs generated by AI Employees for your Organisation, subject to payment of applicable fees
Access Board Reports, Talent Pool profiles, General Manager communications, and Executive Assistant functionality corresponding to your Intelligence Level

1.3 License Restrictions

This license expressly does not permit you to:

Copy, reproduce, modify, translate, adapt, or create derivative works of the Software or any portion thereof
Reverse engineer, decompile, disassemble, or attempt to derive the source code, AI model weights, routing logic, or underlying architecture of the Software
Rent, lease, lend, sell, sublicense, assign, or transfer the Software or your license rights to any third party
Use the Software to develop a competing product or service
Attempt to circumvent, disable, or bypass any technical limitation, security feature, access control, or usage restriction in the Software
Access the Software by any means other than the interfaces provided by GetStaff AI
Scrape, crawl, or extract data from the Platform through automated means not authorized by GetStaff AI
Use the Software on behalf of any third party without prior written consent from GetStaff AI

2. PROPRIETARY RIGHTS AND INTELLECTUAL PROPERTY

2.1 Licensor's Ownership

The Software, including all source code, object code, interfaces, AI systems, LLM infrastructure, routing architecture, Executive Assistant character, General Manager system, Talent Pool framework, Board Report system, Intelligence Level architecture, design elements, brand assets, icons, documentation, and all other components, is and shall remain the exclusive property of Studio9 LLC. All rights not expressly granted under this EULA are reserved by GetStaff AI.

2.2 Trademarks

"GetStaff AI," "Studio9," "Executive Suite," "Talent Pool," "Board Report," "Provisional Status," "Intelligence Level," "Venture," "Executive," "Prestige," and all associated logos and brand marks are trademarks or service marks of Studio9 LLC. This EULA does not grant you any right to use these marks.

2.3 AI Architecture Confidentiality

The AI models, LLM providers, routing logic, and technical infrastructure underlying each Intelligence Level are proprietary, confidential trade secrets of GetStaff AI. You agree not to disclose, replicate, or attempt to reverse engineer any aspect of the AI architecture. GetStaff AI markets Intelligence Levels by capability and outcome, not by underlying technical specification, and no disclosure of the technical stack is made or implied.

2.4 Ownership of Outputs

Subject to your compliance with this EULA and full payment of all applicable subscription and usage fees, all right, title, and interest in and to Outputs generated by AI Employees specifically for your Organisation vest in you upon generation. GetStaff AI retains no intellectual property claim over Outputs produced for your account. You may use, distribute, publish, and commercialize your Outputs without restriction, subject to applicable law.

2.5 Your Content License to GetStaff AI

By submitting content, data, or instructions to the Software, you grant GetStaff AI a limited, non-exclusive, royalty-free license to process and use that content solely to operate the Software and provide the Service to you. GetStaff AI does not claim ownership of Your Content and will not sell it to third parties.

3. AI EMPLOYEE SYSTEM — SPECIFIC TERMS

3.1 Nature of AI Employees

AI Employees within the GetStaff AI platform are software agents powered by artificial intelligence. They are simulated entities designed to perform business functions with the characteristics of real employees, including named identities, defined roles, performance tracking, promotion, and suspension mechanics. AI Employees are not human beings, do not possess legal personhood, and do not independently hold any rights or liabilities.

3.2 No Guarantee of Specific Outcomes

GetStaff AI does not guarantee any specific business outcome, result, revenue, growth metric, or operational improvement from the use of AI Employees or any Platform feature. Business outcomes depend entirely on factors outside GetStaff AI's control, including your business model, market conditions, the quality of your inputs and direction, and how you act on Outputs.

3.3 Not a Staffing Agency

GetStaff AI is a software platform. It is not an employment agency, staffing firm, or labour provider. No employer-employee, agency, or contractor relationship exists between you and any AI Employee or between you and GetStaff AI in respect of AI Employee activities.

3.4 Not Professional Advice

Outputs produced by AI Employees do not constitute legal, financial, medical, accounting, tax, or other licensed professional advice. You must seek qualified professional counsel for any matter requiring such expertise. GetStaff AI expressly disclaims all liability for decisions made in reliance on AI-generated Outputs.

4. UPDATES, MODIFICATIONS, AND DISCONTINUATION

4.1 Software Updates

GetStaff AI may release updates, patches, or new versions of the Software at any time. Updates may add, modify, or remove features. This EULA applies to all updates and new versions. GetStaff AI is not obligated to provide updates and does not guarantee backward compatibility.

4.2 Feature Modifications

GetStaff AI reserves the right to modify, suspend, or discontinue any feature, AI Employee role, Intelligence Level capability, or aspect of the Platform at any time. In the case of material changes to features included in your paid Intelligence Level, GetStaff AI will provide at least thirty (30) days' advance notice where commercially practicable.

4.3 Discontinuation of Service

In the event GetStaff AI discontinues the Platform entirely, it will provide at least sixty (60) days' notice to active subscribers and will provide pro-rata refunds for unused prepaid subscription periods.

5. TERM AND TERMINATION

5.1 Term

This EULA commences on the date you first access the Software and continues until terminated.

5.2 Termination by You

You may terminate this EULA by cancelling your subscription and closing your account in accordance with the Refund Policy and Terms of Service.

5.3 Termination by GetStaff AI

GetStaff AI may terminate this EULA and your license immediately and without prior notice if you: (a) breach any provision of this EULA or the Terms of Service; (b) use the Software for any prohibited purpose; (c) engage in fraudulent, illegal, or abusive conduct; (d) file a fraudulent chargeback; or (e) fail to pay any amounts due. Upon termination for cause, no refund shall be issued.

5.4 Effect of Termination

Upon termination, your license is immediately revoked, all access to the Software ceases, and your Organisation data may be deleted after thirty (30) days. Sections 2, 3.3, 3.4, 6, 7, 8, and 9 of this EULA survive termination.

6. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GETSTAFF AI EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GETSTAFF AI DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, BE FREE FROM BUGS OR DEFECTS, OR PRODUCE ANY SPECIFIC BUSINESS RESULT. NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY GETSTAFF AI OR ITS REPRESENTATIVES SHALL CREATE A WARRANTY.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STUDIO9 LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SOFTWARE OR ANY OUTPUT, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS ITS ESSENTIAL PURPOSE.

GETSTAFF AI'S TOTAL CUMULATIVE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS (USD $100.00).

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Studio9 LLC, its members, managers, officers, employees, agents, successors, and assigns from any claim, demand, loss, liability, cost, or expense (including reasonable attorneys' fees) arising from: (a) your use of the Software; (b) any Output you act upon or distribute; (c) your violation of this EULA or applicable law; (d) your violation of any third-party rights; or (e) any content or data you submit to the Software.

9. GENERAL PROVISIONS

9.1 Entire Agreement

This EULA, together with the Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and GetStaff AI with respect to the Software and supersedes all prior agreements and understandings.

9.2 Governing Law

This EULA is governed by the laws of the State of New Mexico, United States of America, without regard to conflict of law principles. Disputes shall be resolved in accordance with the dispute resolution provisions of the Terms of Service.

9.3 Amendments

GetStaff AI may amend this EULA at any time. Amended terms will be posted at getstaffai.com and communicated by email. Continued use of the Software after the effective date of any amendment constitutes acceptance.

9.4 Severability

If any provision of this EULA is found invalid or unenforceable, it shall be severed and the remaining provisions shall continue in full force and effect.

9.5 No Waiver

Failure by GetStaff AI to enforce any provision shall not constitute a waiver of that provision or any other provision.

9.6 Export Compliance

You agree to comply with all applicable export control laws and regulations in your use of the Software. You represent that you are not located in, under the control of, or a national of any country subject to U.S. export restrictions.
