Terms of Service

These Terms of Service ("Agreement" or "Terms") constitute a legally binding contract between you ("CEO," "Customer," or "you") and Studio9 LLC, a New Mexico limited liability company doing business as GetStaff AI ("GetStaff AI," "Company," "we," "us," or "our"), governing your access to and use of the GetStaff AI platform, website located at getstaffai.com, software applications, AI-powered services, Executive Suite, and all associated features, tools, workflows, and communications (collectively, the "Platform" or "Service").

BY ACCESSING THE PLATFORM, CLICKING "I AGREE," COMPLETING THE INCORPORATION PROCESS, OR USING ANY PART OF THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE PLATFORM.

These Terms apply to all users of the Platform including those on Provisional Status (free tier), paid Intelligence Levels, and any third parties authorized by you to access your account.

1. DEFINITIONS

The following definitions apply throughout this Agreement:

  • "Platform" means the GetStaff AI web application, API, mobile applications, Executive Suite dashboard, AI employee infrastructure, General Manager system, Executive Assistant, Talent Pool, Board Reports, and all associated features and services.
  • "Intelligence Level" means a paid subscription tier (Venture, Executive, or Prestige) that governs the capabilities and AI architecture made available to your Organisation.
  • "Organisation" refers to the simulated AI-powered company structure established by you within the Platform.
  • "AI Employees" means the AI-powered agents, including but not limited to the General Manager, Executive Assistant, department heads, and department staff, operating within your Organisation.
  • "Provisional Status" means the free-access tier granted upon incorporation, with limited functionality and no Intelligence Level subscription.
  • "Incorporation" means the account creation and onboarding process for new CEOs on the Platform.
  • "Outputs" means any content, reports, recommendations, plans, communications, creative assets, or other materials generated by AI Employees on your behalf.
  • "CEO" refers to the account holder and authorised user of an Organisation on the Platform.
  • "Dissolution" means the cancellation and termination of a paid subscription.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Age Requirement

You must be at least eighteen (18) years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding contracts.

2.2 Business Use

The Platform is designed for business use. By registering, you represent that you are accessing the Platform for commercial, business, or professional purposes and not for personal, household, or consumer use.

2.3 Account Accuracy

You agree to provide accurate, current, and complete information during the Incorporation Process and to maintain and promptly update your account information. GetStaff AI reserves the right to suspend or terminate accounts based on false, inaccurate, or misleading information.

2.4 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at compliance@getstaffai.com of any unauthorized access or suspected breach of security. GetStaff AI is not liable for any loss or damage arising from your failure to protect your account credentials.

2.5 One Account Per Organisation

Each Organisation on the Platform corresponds to one active CEO account. You may not create multiple accounts to circumvent usage limitations, access Provisional Status benefits repeatedly, or for any other purpose without prior written consent from GetStaff AI.

3. PROVISIONAL STATUS AND PAID INTELLIGENCE LEVELS

3.1 Provisional Status (Free Tier)

Upon completing the Incorporation Process, you will be granted Provisional Status at no charge. Provisional Status provides limited access to the Platform, including a restricted Executive Assistant, a visible but largely locked Talent Pool, a truncated Board Report, and an Organisation chart with ghosted profiles. Provisional Status does not include voice features, a General Manager, or full departmental capabilities.

Provisional Status remains active indefinitely until you either upgrade to a paid Intelligence Level or request account closure. GetStaff AI reserves the right to modify the features available under Provisional Status at any time with reasonable notice.

3.2 Paid Intelligence Levels

GetStaff AI currently offers three Intelligence Levels: Venture ($79/month), Executive ($249/month), and Prestige ($599/month), each with corresponding annual billing options. Annual pricing reflects a discount equivalent to two months free. Current pricing, features, and capabilities for each Intelligence Level are published at getstaffai.com and may be updated from time to time in accordance with Section 9 of these Terms.

3.3 Intelligence Level Selection and Switching

Upon selecting an Intelligence Level, your entire Organisation operates at that level. Intelligence Levels cannot be mixed within a single Organisation. Upgrading or downgrading your Intelligence Level constitutes a formal organisational restructure and is subject to a thirty (30) day transition period during which existing AI staff complete their notice period, new staff are recruited, and your General Manager manages the transition.

3.4 Annual Subscriptions

By selecting an annual subscription, you commit to a full twelve (12)-month billing cycle at the discounted annual rate. Should you cancel an annual subscription before the end of the twelve-month term, the discount will be forfeited. Your refund, if any, will be calculated by reverting your subscription to the applicable monthly rate for each month of service used, with the remaining balance refunded on a pro-rata basis. No refunds will be issued for annual subscriptions cancelled after ten (10) months of the subscription term have elapsed.

3.5 Monthly Subscriptions

Monthly subscriptions are billed in advance for each calendar month of service. Monthly subscriptions may be cancelled at any time. Upon cancellation, your access to the Platform will continue through the end of the current billing period. No partial refunds are issued for unused portions of a monthly billing period.

4. BILLING, PAYMENT, AND REFUND POLICY

4.1 Payment Processing

All payments are processed through payment processing partners and Merchants of Record engaged by Studio9 LLC from time to time ("Payment Processors"). By providing payment information, you authorize GetStaff AI and its Payment Processors to charge your designated payment method for all applicable fees. GetStaff AI does not store full payment card details; all such data is handled by our Payment Processors in accordance with applicable PCI-DSS standards.

4.2 Recurring Billing

By subscribing to a paid Intelligence Level, you authorize GetStaff AI to charge your payment method on a recurring basis — monthly or annually, as selected — until you cancel your subscription. You will receive advance notice of each recurring charge via email to the address on file. It is your responsibility to ensure that your payment information remains current and accurate.

4.3 Failed Payments

If a payment fails, GetStaff AI will attempt to reprocess the charge and will notify you via email. Access to the Platform may be suspended following a failed payment. GetStaff AI is not liable for any business interruption or loss arising from suspension of access due to payment failure. You remain liable for all outstanding amounts.

4.4 Operational Activity Billing

Certain features of the Platform may incur usage-based fees ("Operational Activity Billing") in addition to your base Intelligence Level subscription fee. These include but are not limited to AI-generated creative assets, extended AI operations, and other resource-intensive outputs. Applicable Operational Activity Billing rates will be disclosed to you before such features are activated.

4.5 Taxes

All fees are exclusive of applicable taxes, levies, duties, or similar governmental charges unless otherwise stated. You are responsible for any applicable sales tax, VAT, GST, or similar tax obligations in your jurisdiction.

4.6 Refund Policy — Annual Subscriptions

If you cancel an annual subscription before the end of your twelve (12)-month term, GetStaff AI will calculate your refund as follows: (a) the full annual amount paid will be re-assessed at the standard monthly rate for your Intelligence Level for each complete or partial month of service used; (b) the difference between the annual amount paid and the recalculated monthly total will be refunded to your original payment method. No refund will be issued if you cancel after ten (10) complete months of an annual subscription term have elapsed. Refunds are processed within ten (10) business days.

4.7 Refund Policy — Monthly Subscriptions

Monthly subscriptions are non-refundable. Upon cancellation, your access to the Platform continues through the end of the current billing month, after which access is terminated. No partial refunds are issued for monthly subscriptions under any circumstances.

4.8 Provisional Status

Provisional Status is provided at no charge. No payment is required, and no refund is applicable.

4.9 Disputed Charges and Chargebacks

If you believe a charge is incorrect, you must contact GetStaff AI at compliance@getstaffai.com within thirty (30) days of the charge date. GetStaff AI will investigate and respond within ten (10) business days. Filing a chargeback or payment dispute without first contacting GetStaff AI may result in immediate account suspension and may disqualify you from receiving a refund. GetStaff AI maintains comprehensive transaction records, session logs, IP data, device fingerprints, and consent records, which will be submitted in full to the applicable payment network as evidence in the event of a dispute.

5. PERMITTED AND PROHIBITED USE

5.1 Permitted Use

You may use the Platform solely for lawful commercial business purposes in accordance with these Terms and all applicable laws and regulations.

5.2 Prohibited Use

You agree not to use the Platform, directly or indirectly, for any of the following:

  • Any illegal activity or in violation of any applicable local, state, national, or international law or regulation.
  • Online gambling, sports betting, lottery operations, or any form of wagering or games of chance.
  • The manufacture, distribution, or sale of firearms, weapons, ammunition, or explosive materials.
  • The production, distribution, or facilitation of adult content, pornography, or sexually explicit material.
  • The production, promotion, or distribution of illegal drugs, controlled substances, or drug paraphernalia.
  • Hate speech, discrimination, harassment, or incitement of violence against any person or group.
  • Phishing, spamming, or any form of deceptive or unsolicited communications.
  • Unauthorized access to computer systems, networks, or data.
  • Activities that violate intellectual property rights of any third party.
  • Any activity that GetStaff AI, in its sole discretion, determines to be harmful to the Platform, its users, or its reputation.
  • Circumventing, disabling, or interfering with security features of the Platform.
  • Reverse engineering, decompiling, or attempting to extract the source code or underlying AI architecture of the Platform.
  • Any activity prohibited by GetStaff AI's payment processing partners or Merchants of Record.

GetStaff AI reserves the right to immediately suspend or terminate your account for any violation of this Section without prior notice and without refund.

6. AI-GENERATED OUTPUTS AND LIMITATIONS

6.1 Nature of AI Outputs

The Platform operates through AI-powered agents that generate Outputs including but not limited to business plans, marketing materials, communications, reports, recommendations, and operational guidance. All Outputs are generated by artificial intelligence and are provided for informational and operational assistance purposes only.

6.2 Not Professional Advice

NO OUTPUT GENERATED BY THE PLATFORM CONSTITUTES LEGAL, FINANCIAL, ACCOUNTING, TAX, MEDICAL, OR OTHER LICENSED PROFESSIONAL ADVICE. You acknowledge that AI Employees are simulated agents and are not licensed attorneys, accountants, financial advisors, medical professionals, or any other class of licensed practitioner. You must not rely on any Output as a substitute for qualified professional advice. GetStaff AI expressly disclaims all liability for any decisions made based on AI-generated Outputs.

6.3 CEO Responsibility

You, as CEO, remain solely and entirely responsible for all business decisions, actions, and outcomes arising from your use of the Platform or its Outputs. GetStaff AI provides tools to support your operations but does not make business decisions on your behalf. You assume all risk associated with implementing, acting upon, or sharing any Output generated by the Platform.

6.4 Output Accuracy

GetStaff AI does not warrant that Outputs will be accurate, complete, current, error-free, or fit for any particular purpose. AI systems, including those powering the Platform, may produce inaccurate, outdated, or contextually inappropriate information. You are responsible for reviewing all Outputs before acting on them.

6.5 Ownership of Outputs

Subject to your compliance with these Terms and payment of all applicable fees, GetStaff AI assigns to you all right, title, and interest in and to the Outputs generated by AI Employees specifically for your Organisation. You own the Outputs produced for you. GetStaff AI retains no ownership interest in your Outputs.

7. INTELLECTUAL PROPERTY

7.1 GetStaff AI Property

The Platform, including its software, design, architecture, AI models, workflows, brand assets, language systems, the AI Employee simulation framework, the General Manager and Executive Assistant characters, the Intelligence Level system, and all associated intellectual property (collectively, "GetStaff AI IP"), is owned by Studio9 LLC and protected by copyright, trade secret, trademark, and other applicable intellectual property laws. Nothing in these Terms transfers any ownership of GetStaff AI IP to you.

7.2 License to Use the Platform

Subject to your compliance with these Terms and payment of applicable fees, GetStaff AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes during the term of your subscription.

7.3 Your Content

You retain ownership of all data, information, materials, and content you upload, submit, or input into the Platform ("Your Content"). By submitting Your Content, you grant GetStaff AI a limited, non-exclusive license to use Your Content solely to operate, maintain, and improve the Platform and to provide the Service to you. GetStaff AI will not sell Your Content to third parties.

7.4 Proprietary AI Architecture

The AI models, routing architecture, and LLM infrastructure underlying each Intelligence Level are proprietary and confidential to GetStaff AI. GetStaff AI does not disclose the specific AI models, third-party providers, or technical configurations powering any Intelligence Level.

8. CONFIDENTIALITY

Each party agrees to maintain the confidentiality of the other's non-public business information disclosed in connection with this Agreement. You agree not to disclose, reproduce, or distribute any non-public information about GetStaff AI's Platform, AI architecture, pricing structures, internal workflows, or business operations. This obligation survives termination of this Agreement.

9. PRICING AND MODIFICATIONS

9.1 Price Changes

GetStaff AI reserves the right to modify pricing for Intelligence Levels and any associated fees at any time. We will provide at least thirty (30) days' advance written notice of any price change by email to your registered address and/or by posting notice on the Platform. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing. If you do not accept the new pricing, you may cancel your subscription before the change takes effect.

9.2 Platform Modifications

GetStaff AI reserves the right to modify, update, add, or remove features of the Platform at any time. We will endeavour to provide reasonable advance notice of material changes. Your continued use of the Platform following any modification constitutes acceptance of the updated Service.

10. TERM AND TERMINATION

10.1 Term

This Agreement commences on the date you complete the Incorporation Process and continues until terminated in accordance with these Terms.

10.2 Termination by You

You may cancel your subscription (Dissolution) at any time through your account settings or by contacting compliance@getstaffai.com. Cancellation takes effect at the end of the current billing period for monthly subscriptions or in accordance with Section 3.4 for annual subscriptions.

10.3 Termination by GetStaff AI

GetStaff AI may suspend or terminate your account immediately and without prior notice if: (a) you breach any provision of these Terms; (b) we suspect fraudulent, abusive, or illegal activity; (c) we are required to do so by law or at the direction of a regulatory authority; (d) your account has been inactive for more than twelve (12) consecutive months on Provisional Status; or (e) continued operation of your account poses a risk to the Platform or other users.

10.4 Effect of Termination

Upon termination, your license to use the Platform is revoked, your access to the Executive Suite and all AI Employees is terminated, and your Organisation data may be deleted after thirty (30) days. GetStaff AI is not liable for any loss of data, business interruption, or other consequences of account termination. Sections 2, 6, 7, 8, 11, 12, 13, and 14 of these Terms survive termination.

11. DISCLAIMERS AND WARRANTIES

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GETSTAFF AI EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GETSTAFF AI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. GETSTAFF AI MAKES NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY OUTPUT GENERATED BY THE PLATFORM.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STUDIO9 LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR ANY OUTPUT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF GETSTAFF AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL GETSTAFF AI'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO GETSTAFF AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS (USD $100.00). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Studio9 LLC, its members, managers, officers, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, judgments, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) any Outputs you act upon or disseminate; (c) your breach of these Terms; (d) your violation of any applicable law or regulation; (e) your violation of any third-party rights; or (f) any content you submit to the Platform.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States of America, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered in Santa Fe, New Mexico, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access to the Platform.

14.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS AGAINST GETSTAFF AI MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and End User License Agreement published at getstaffai.com, constitute the entire agreement between you and GetStaff AI with respect to the Platform and supersede all prior or contemporaneous agreements, representations, and understandings.

15.2 Amendments

GetStaff AI reserves the right to amend these Terms at any time. Amended Terms will be posted at getstaffai.com and you will be notified by email. Your continued use of the Platform after the effective date of any amendment constitutes acceptance.

15.3 Waiver and Severability

Failure by GetStaff AI to enforce any provision of these Terms shall not constitute a waiver of that provision. If any provision is found invalid or unenforceable, it shall be severed and the remaining provisions shall continue in full force.

15.4 Assignment

You may not assign your rights or obligations under these Terms without prior written consent from GetStaff AI. GetStaff AI may freely assign its rights and obligations under these Terms.

15.5 Force Majeure

GetStaff AI shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, government action, power failures, internet disruptions, or third-party service provider outages.
